Randy May | Chairman
As Chairman, Randy May leads a strong management team that is working to deliver Ecoark Holding, Inc.’s mission of sustainable solutions through its subsidiaries and strategic partners. Under his leadership, Ecoark has completed three strategic acquisitions since 2012. Mr. May is a 25-year retail and supply-chain veteran with extensive experience in marketing, operational, and executive roles.
Prior to Ecoark, Mr. May held many roles with Walmart Stores, the world’s largest retailer, based in Bentonville, Arkansas. From 1998-2004, Mr. May served as Divisional Manager for half the United States for one of the company’s specialty divisions. There, he was responsible for all aspects of strategic planning, finance, and operations for more than 1,800 stores. He had complete P&L responsibility for more than $4.0 billion dollars of sales. Under Mr. May’s leadership, the business grew sales and market share in a highly competitive market.
Susan Chambers | Independent Director Committees: Compensation
Susan Chambers has over 30 years of experience in the retail industry and has served as principal of Chambers Consulting LLC since July 2015. She previously served as the Chief Human Resource Officer for Walmart from 2006 to her retirement in 2015. Prior to serving as Chief Human Resource Officer, Chambers served in various positions at Walmart, including Vice President of Application Development — Merchandising and Supply Chain Systems and Senior Vice President of Risk Management, Retirement and Benefits.
Before joining Walmart, Chambers served as Director of Application Development at Hallmark Cards, Inc., where she had roles of increasing responsibility in IT and finance over a 14-year tenure. Chambers also currently serves on the Board of Directors of USA Truck, Inc. (NASDAQ: USAK) and as chair of its executive compensation committee.
Steven Nelson | Independent Director Committees: Audit
Steven Nelson has been a lecturer for the Department of Accounting at the University of Central Arkansas since 2015 after retiring as Vice President, Controller of Dillard’s, Inc. (NYSE: DDS). At Dillard’s, he was responsible for administering all aspects of financial accounting and reporting.
Mr. Nelson began his career in 1980 as a staff accountant for Ernst & Young and attained the title of audit manager by the time he left the firm in 1984. He maintains an active license as a Certified Public Accountant (CPA) in the State of Arkansas, and regularly develops and delivers continuing professional education presentations for CPAs in Arkansas.
John P. Cahill | Independent Director Committees: Nomination
John P. Cahill is currently Counsel at the law firm of Chadbourne & Parke LLP and has served in that capacity from 2007.He is also a Principal at the Pataki-Cahill Group LLC, a strategic consulting firm focusing on the economic and policy implications of domestic energy needs, which he co-founded in March 2007.
He served in various capacities in the administration of the Governor of New York, George E. Pataki (from 1997 to 2006), including Secretary and Chief of Staff to the Governor (2002 to 2006). He also serves on the board of directors of Sterling Bancorp, a company traded on the New York Stock Exchange. His extensive experience as an attorney in government and in business qualifies him to serve as a member of the board.
Terrence D. Matthews | Independent Director Committees: Audit, Compensation, Nomination
Terrence D. Matthews has been Executive Vice President of JB Hunt Transport Services Inc. and President of their Intermodal segment since January 1, 2012. Mr. Matthews started with JB Hunt in 1986 where he was instrumental in the start-up of the Automotive Division. In 1989, he was responsible for the formation of the International Division overseeing operations in Canada and Mexico.
From 1994 to1996, he was appointed President of TMM/Hunt in Mexico City overseeing J.B.Hunt’s Mexican joint venture. Returning to J.B. Hunt’s corporate office in Lowell, Arkansas in 1996, Mr. Matthews was appointed to positions of increasing responsibility until appointed to the position he now holds. His expertise in the logistics and the supply chain qualifies him to serve as a member of the board.
Gary Metzger | Independent Director Committees: Audit, Compensation, Nomination
Gary Metzger is an accomplished business leader who has served as an executive at Amco International, Inc. and Amco Plastics Materials, Inc., where in 1986 he earned the role of President. He held the position for the next 24 years. Amco was sold to Ravago Americas in December of 2011.Mr. Metzger joined the board of Ecoark, Inc. in 2013. Mr. Metzger is recognized as one of the rare leaders who understands the business as well as the scientific process.
Mr. Metzger has contributed 40 years of product development, strategic planning, management, business development, and operational expertise. In addition to his leadership functions, Mr. Metzger spearheaded research and development for recycled polymers, new alloy and bio-based polymer development, and introduced fragrance into polymer applications. He also developed encrypted item level bar code identification technology, anti-counterfeiting technologies, and antimicrobial technologies. He now brings his expertise, industry connections, and leadership to the Ecoark Board of Directors.
Charles Rateliff | Chief Financial Officer
Charles Rateliff currently serves as an independent consultant to private investment groups. Mr. Rateliff retired in 2005 from Walmart Stores as a Senior Vice President after a 25-year career. After receiving an MBA from the University of Arkansas, Mr. Rateliff was hired as an internal auditor for Walmart and within two years was promoted to Assistant Treasurer and Treasurer three years later.
Over the course of his career at Walmart, Charles worked across several departments including, compliance, risk management, profit sharing and associate benefits. His financial expertise qualifies him to serve as a member of the board.
Peter Mehring| CEO, Zest Labs, LLC
Mr. Peter Mehring serves as Chief Executive Officer and President of Zest Labs. Peter brings extensive experience in engineering, operations and general management at emerging companies and large enterprises. As CEO of Zest Labs‑, he has led the company’s efforts in pioneering on-demand data visibility and condition monitoring solutions for the fresh produce and pharmaceutical markets.
He was formerly Vice President of Macintosh hardware group at Apple Computer, Senior Vice President of Engineering at Echelon, and founder, General Manager and Vice President of R&D at UMAX. Mr. Mehring held Engineering Management positions at Radius, Power Computing Corporation, Sun Microsystems, and Wang Laboratories.
